Functions

  The Board of Directors is a company’s organ that have the authority and full responsibility over management for the benefits of the company, in accordance with the company’s aims and objectives; represents the company, both inside and outside of the court; leads and conducts operations according to the company’s mission and vision, and maintain and manage the company’s assets, based on the principles of merit, fairness and equality, legal certainty, security, partnership, ethics, and self confidence; and ensure the consistency of the GCG implementation.

Duty

  The Board of Directors implements strategic, operational, legal and administrative duties.
 

President Director

    In charge of leading and managing the company in accordance with the company’s objectives and targets; improving the level efficiency and effectiveness of the company; maintaining and managing as well as safeguarding the company’s assets. In addition, the President Director is also in charge of ensuring that Your Company conducts its social responsibility, with regard to the interests of the stakeholders
 

Director overseeing Human Resources (HR)

   

In charge of developing and applying strategies/policies and leading the management of HR, general affairs, social responsibilities and environment, as well as the procurement system for the operational areas, and is responsible for the result. The HR Director also has the duties to develop work plans; ensure the availability of resources; ensure the compliance of the implementation of duties and responsibilities with prevailing regulations and laws; establish cooperation to support operational activities and achievement of business objectives; as well as analyze and evaluate related activities, and provide recommendations for improvements and accelerated achievement of the company’s objectives.

 

Director overseeing the Upstream Business Segment

    In charge of the development and implementation of strategies, policies, plans and the annual budget for the operational activities of the Oil Palm and Rubber Business Segments, including long-term planning to ensure the company’s operational sustainability. The Upstream Director has the responsibility to lead and direct operational activities of the segment in accordance with both national and international regulations and laws; ensure the availability of resources and funds; develop cooperation to support operational activities and the achievement of production targets; as well as analyze and evaluate related activities, and provide recommendations for improvements and accelerated achievement of the company’s production. targets.
 

Director overseeing the Downstream Business Segment

    In charge of the development and implementation of strategies, policies, plans and the annual budget for the operational activities of the Downstream Business Segment, including long-term planning to ensure the the company’s operational sustainability. The Downstream Director has the responsibility to lead and direct operational activities of the segment in accordance with both national and international regulations and laws; ensure the availability of resources and funds; develop cooperation to support operational activities and the achievement of production targets; as well as analyze and evaluate related activities, and provide recommendations for improvements and accelerated achievement of the company’s production targets.
 

Director overseeing Commerce

    In charge of developing and applying corporate strategies/policies and comprehensive analysis regarding business and commerce development for Upstream and Downstream Segments; conducting monitoring of sales and marketing activities; as well as maintaining and developing good relations with buyers
 

Director overseeing Strategy and Investor Relations

    in charge of developing and applying corporate strategies/policies and comprehensive analysis regarding investments; responsible for conveying corporate information to analysts and investors; conducting monitoring of analyst reports; as well as maintaining and developing good relations with investors.
 

Director overseeing Finance

    In charge of the development and implementation of the company’s strategies, policies and financial plans, including longterm planning. The Finance Director is also responsible to ensure the compliance of the company’s financial activities with both national and international regulations and laws; ensure the documentation of all financial administration activities; prepare reports, information and financial analysis; implement loan restructurization and/or recapitalization; as well as analyze and provide recommendations on transactions of mergers, acquisitions, divestments and other investment activities.

Authority

  The Board of Directors has several authorities related to the company’s operational activities, financing, capitalization and transfer/collateral pledge of assets that consist of :
  • full authority,
  • authority requiring written approval of the Board of Commissioners,
  • shared authority between the Board of Directors and the Board of Commissioners, and
  • authorities that have to obtain or require approval of the GMS as endorsed by the Board of Commissioners.
